Terms of Service

1. Acceptance of Terms

By accessing or using the Meritus platform (“Service”), operated by OptiMystic Holdings Inc. (“Company,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Service. These Terms apply to all users, including workers, employers, training providers, and any person accessing the verification system.

2. Description of Service

Meritus is a global portable professional credential registry. The Service allows users to upload professional certifications, swear legally binding oaths of veracity, and maintain permanent, verifiable profiles. Employers and other parties may verify credentials using serial numbers, QR codes, or the bulk verification API.

Meritus is a registry and attestation platform, not a regulatory body, licensing authority, or background check service. We do not independently validate credentials. The integrity of the registry rests on the sworn oaths of its users.

3. The Oath of Veracity

When you submit a certification to Meritus, you are required to swear a legally binding oath (“Oath of Veracity”) that:

  • The credential you are submitting is authentic and has not been altered.
  • The information you provide (name, certification type, issuing body, dates) is true and accurate to the best of your knowledge.
  • You are the person named on the credential, or you are an authorised representative of the issuing training provider.

The Oath of Veracity is a solemn declaration with legal consequences. Swearing a false oath may constitute fraud under applicable law. Meritus records and permanently retains every oath. A false oath cannot be retracted, deleted, or hidden — the record will be permanently flagged.

4. Permanent Record

All entries in the Meritus registry are permanent and append-only. Once a certification is attested, it cannot be modified, deleted, or removed by any party — including the user, Meritus, or any third party. This permanence is a core design principle of the Service and is essential to the trustworthiness of the registry.

You acknowledge and accept that by submitting a certification and swearing the Oath of Veracity, you are creating a permanent record that will exist for the lifetime of the Service.

5. Dispute Process

Any party may initiate a formal dispute against a credential in the registry. Disputes are processed as follows:

  1. The disputing party submits a written dispute with supporting evidence.
  2. Meritus applies a “Disputed” flag to the credential. This flag is visible to all parties who verify the credential.
  3. The credential holder is notified and given the opportunity to respond.
  4. Meritus does not adjudicate disputes. We provide the transparent infrastructure for documentation. Resolution must be sought through appropriate external channels (regulatory bodies, courts, arbitration).
  5. If a dispute is resolved, the resolution is appended to the record. The original dispute flag and all documentation remain permanently visible for transparency.

Meritus reserves the right to apply a “Fraud” flag to entries where there is clear and unambiguous evidence of a false oath, without requiring external adjudication.

6. User Accounts

You are responsible for maintaining the security of your account credentials. You must not share your login details with any other person. You are liable for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorised access.

7. Training Provider Accounts

Training providers who submit certifications on behalf of students or graduates do so under a binding declaration that all submissions are accurate. Provider API keys are non-transferable. Misuse of a provider account — including submitting fraudulent credentials — will result in immediate suspension and may result in legal action.

8. Employer Access

Employers may verify credentials using the public verification tools or the bulk verification API. Verification results are provided “as-is” based on the sworn oaths of credential holders and training providers. Meritus does not guarantee the underlying validity of any credential — we guarantee only that the oath was sworn and the attestation was recorded at the stated time.

9. Fees and Payments

Certain features of the Service require payment. Current pricing is published on the Pricing page and may be updated from time to time. All fees are in Canadian dollars (CAD) unless otherwise stated. Payments are non-refundable except where required by applicable law. The first certification for individual workers is free.

10. Intellectual Property

The Meritus platform, including its software, design, and documentation, is the property of OptiMystic Holdings Inc. You retain ownership of any documents you upload. By uploading a document, you grant Meritus a non-exclusive, perpetual, worldwide licence to store, display, and make available for verification the metadata and hash of that document as part of the registry.

11. Limitation of Liability

To the maximum extent permitted by law, OptiMystic Holdings Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Meritus is provided “as is” and “as available.” We make no warranties, express or implied, regarding the reliability, accuracy, or completeness of the Service.

12. Indemnification

You agree to indemnify and hold harmless OptiMystic Holdings Corp. from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or any oath you swear on the platform.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. Upon termination, your account access will be revoked, but all attested records in the registry will remain permanently. You may deactivate your account at any time, but this does not remove your records from the registry.

14. Governing Law

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Alberta, Canada.

15. Amendments

We may amend these Terms at any time by posting revised Terms on the Service. Material changes will be communicated via email to registered users. Continued use of the Service after amendments constitutes acceptance of the revised Terms.
